Rivulent Terms of Service

1. Overview
These Terms govern use of Rivulent Web Design, Inc.'s survey and data-collection Platform. By accessing it, you agree to these terms.
2. Scope of Services
Rivulent provides customized Platform access for surveys, follow-ups, automations, and related data collection activities limited to specific projects.
3. License
Rivulent grants a "non-exclusive, non-transferable, revocable license" for project duration. The license doesn't transfer Platform ownership or intellectual property rights and automatically expires unless renewed.
4. Client Responsibilities
Clients must:
- Supply accurate specifications and test functionality before launch
- Ensure data collection complies with privacy, research, and consent laws
- Manage participant data access and maintain confidentiality per institutional obligations
- Periodically download data for backup
Rivulent won't access client data except for technical support or legal requirements.
5. Payments
Fees are per-project based unless otherwise stated. Payments are non-refundable once work begins, unless Rivulent fails to deliver agreed services.
6. Support
General support available through ticket system during business hours with no specific SLA guarantees unless separately agreed.
7. Warranties and Disclaimers
The Platform is provided "as is" without warranty. Rivulent doesn't guarantee uninterrupted operation and isn't responsible for third-party infrastructure outages (AWS, Twilio, SendGrid, etc.).
8. Limitation of Liability
Rivulent's liability caps at total project fees paid. The company isn't liable for indirect, incidental, or consequential damages, including data or profit loss.
9. Termination
Rivulent may suspend access for breach or misuse. Upon termination, client data transfers to the client, then deletion per agreement or Privacy Policy.
10. Intellectual Property
Platform software, designs, and code belong to Rivulent. Client branding, survey content, and collected data remain client property. Customizations are Platform components unless expressly stated otherwise.
11. Compliance with Privacy Regulations
Clients determine whether activities fall under GDPR, CCPA/CPRA, or similar regulations. Rivulent acts as service provider/data processor and will process data per client direction, implement industry-standard safeguards, and cooperate with privacy obligations.
12. No Independent Data Rights
Rivulent doesn't independently collect, sell, share, or use client or participant data.
13. Security Incidents and Breach Notification
Rivulent maintains protective safeguards. Upon discovering confirmed breaches, the company notifies affected clients within one business day with available details for regulatory compliance.
14. Governing Law
These Terms follow Washington State law without conflict-of-law principles.
15. Changes to Terms
Rivulent may update Terms. Continued use constitutes acceptance.
